BUSINESS/TRANSACTION PROCEDURE NON NEGOTIABLE

1. The Buyer sends the LOI/ICPO
2. Seller Mandate Issue FCO which once agreed
3. Buyer should send immediately Company Certificate of Incorporation, CIS and Passport of Authorized Signatory and signed the FCO
4. The Seller issues Draft Sales and Purchase Agreement (SPA) with Company Certificate of Incorporation and Registration Documents, CIS and Passport of Authorized Signatory for Buyer review and signature.
5. The Seller & Buyer signs the Sale Purchase Agreement (SPA) Electronically executed copies of the contract are legal and acceptable.
6. Seller will be responsible to secure facilitating documentation/contract registration.
7. After signing the SPA, the Seller provides Proof of Product (POP).
8. Buyer issues an Irrevocable Letter of Credit or SBLC in favour of Seller/Sellers nominated Financial Partners under this Agreement
9. Upon receipt of Buyer’s Irrevocable and Confirmed LC / SBLC, Seller’s Financier issues a 2% performance bond in favour or the buyer.
10. Seller makes Shipment to Buyers Destination Port and sends Proforma Invoice for 20,000MT (+-5%) based on Quality and Quantity Inspection Report at Destination Port.
11. The Buyer makes the payment through Telegraphic Transfer (TT) (SWIFT MT103) within 3 bank working days as per Proforma Invoice to the Seller or their nominated Financial Partners.
12. On successful completion of Trail Shipment, the Buyer will open Irrevocable, non-divisible, Revolving, Transferable Documentary Letter of Credit (IDLC) or Standby Letter of Credit (SBLC) for the monthly shipment of 5,000MT.
13. Both the Banks of the Seller and Buyer shall agree upon the final Text of the IDLC/SBLC
14. All communication between the Bank of the Seller and Buyer will only be via Tested SWIFT only.

 CONTRACT DURATION

The agreement is for 24 monthly deliveries as provided for herein and it is agreed with possible extensions and rolls, without constituting a motif of breakage of validity.

TERMS OF PAYMENT

For the duration of the agreement, payments for the cathodes shall be done by way of a (SWIFT MT103) shall be paid against certified copies of the following documents:

1. Holding Certificate/Safe Keeping Receipt issued by the nominated Shipping Agent at the port.
2. Commercial Invoices (3 originals and 3 copies)
3. Shipping Documents
4. Bill of Lading
5. Commercial Invoice
6. Quality Certificate
7. Phytosanitary Certificate
8. Packing List (per shipment where Applicable)
9. Export License
10. Certificate of Origin
11. Reports of QUALITY /QUANTITY analysis issued by SGS or equivalent inspection company at from the Democratic Republic of Congo; and
12. Quality and Quantity certificate issued by the Buyer’s appointed inspection company in duplicate (1 original and 1 copy) showing it meets the quality and its chemical compositions and standards of the Product; and showing the quantity of the Product verified.
